Context:
The Supreme Court set aside the Competition Commission of India’s order that had revoked Amazon’s 2019 approval to acquire a 49% stake in Future Coupons pvt ltd. The Court also rescinded the ₹202-crore penalty imposed on Amazon, holding that regulatory action must protect competition without creating market unpredictability.
- The Competition Commission of India (CCI) functions under the Ministry of Corporate Affairs, Government of India. It is a statutory body responsible for enforcing the Competition Act, 2002.
- CCI regulates market competition in India. It checks mergers, acquisitions and investments, known as combinations, when they cross prescribed financial limits, to ensure that they do not reduce competition or harm consumers.
- In this case, Amazon invested in Future Coupons Pvt Ltd in 2019. Future Coupons is a company, and this investment indirectly gave Amazon a strategic link with Future Retail, another company.
- CCI first approved Amazon’s investment, but later withdrew the approval and imposed a 202-crore penalty. CCI said Amazon had hidden or misrepresented important information, but the Supreme Court set aside this order.
- The Supreme Court held that already disclosed information cannot later be treated automatically as suppression. This means regulators must act on clear evidence and not punish companies merely because disclosed material is later interpreted differently.
- The case highlights CCI’s balancing role. CCI must protect competition, prevent anti-competitive practices and safeguard consumer interests, but it must also follow due process and avoid creating uncertainty for businesses and investors.
